OVERVIEW AND ACCEPTANCE OF USE

Vermillion Lifestyle Holdings Limited (“Vermillion”) is an online marketplace which enables the sale of premium to luxury lifestyle products from suppliers to buyers globally through its website (the “Platform”). Throughout these terms and conditions (“Terms”), the terms “Vermillion”, “Platform Provider”, “Platform”, “our”, “us”, and/or “we” refer to Vermillion. The terms “you”, “your” and/or “Buyer” refer to any visitor who may make a purchase on the Platform. These Terms constitute a binding legal agreement between you and Vermillion, and are the terms and conditions on which we facilitate your purchase of products on the Platform from its Supplier. These Terms may reference and link to various Vermillion policies that provide additional details regarding the Platform and Services, and any such policies are incorporated herein by reference and are to be treated as part of these Terms.

Please read these Terms carefully before you submit your Order through the Platform. Your access to and use of the Platform is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors and users of the Platform who may potentially be interested in making a purchase on the Platform. By accessing or using the Platform you agree to be bound by these Terms.

You acknowledge that Vermillion has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services. You further acknowledge and agree that Vermillion shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, policies, goods or services available on or through any such websites or services.

1.      Key Definitions

“Buyer” refers to a business or individual customer placing any Order(s), which are accepted, on the Platform.

“Buyer Account” refers to the user account that will need to be created/registered by a Buyer on the Platform to purchase products through the Platform.

“Supplier Account” refers to the user account that will need to be created/registered on the Platform to list and sell products through the Platform.

“Order” refers to an order submitted by you on the Platform to purchase a product on the Platform.

“Order Payment” refers to the payments in full in respect of Orders

“Order Confirmation” refers to the written correspondence sent to you by Vermillion, in which your Order is acknowledged and confirmation given that such Order has been placed and accepted.

“Supplier” refers to any business or person listing and selling any product(s), with the prior approval of Vermillion, on the Platform.

Writing” or “written” includes emails and SMS messages.

2.      About Us

Vermillion operates an online marketplace for premium to luxury lifestyle products, where Suppliers are able to list and display their products for sale and buyers are able to search and purchase products that they desire. Vermillion, as an intermediary of goods sold and supplied on the Platform, helps facilitate transactions between the two parties by providing a platform for discoverability and order placement and payment, providing customer services to buyers on behalf of Suppliers (for instance, dealing with customer complaints and troubleshooting order issues), and may support order fulfilment and facilitate returns, exchanges, and reverse logistics of products through its third-party logistics partner (collectively, the “Services”).

If we have to contact you, we will do so by telephone or by writing to you at the email address or postal address you provided to us in your Order.

3.      Platform Registration

To access full features of the Platform and to place an order, you need to apply for a Buyer Account directly via the Platform, subject to Vermillion’s approval.  

During the registration process, you will be required to submit customary information such as your business name, your first and last name and email address, and to set up a username and a password. Before you make your first purchase as a Buyer, you may be required to provide additional information such as payment method information and related documentation and any other information as may be required by Vermillion. Additional details regarding information collected can be found in our Privacy Policy. You agree that all information you provide to register for a Buyer Account (and/or for any subsequent activity or interaction with the Platform) is to be governed by our Privacy Policy, and you consent to all actions we take with respect to your information or information you provide that are consistent with our Privacy Policy.

You agree to provide accurate, current and complete information during the registration process and to update such information from time to time to keep it accurate, current and complete. We reserve the right to temporarily suspend or permanently terminate your Buyer Account if any information provided during the registration process or thereafter proves to be inaccurate, not current or incomplete. You are responsible for safeguarding your password and you agree that you will not disclose it to any third party. You agree that you are solely responsible for any activities or actions taken under your Buyer Account, whether they are authorised by you or not. You will immediately notify us of any unauthorized use of your Buyer Account. We reserve the right to disable any username, password or other identifier, whether chosen by you or provided by us, at any time in our sole discretion, including if, in our opinion, you have violated any provision of these Terms.

4.      Making an Order

To place an order for products listed and displayed on Vermillion, please go through the order process and make the order payment on the Platform.  After you have placed an order, you will receive an Order Confirmation through e-mail. Any agreement for the sale and purchase of a product on the Platform is made solely between you and the Supplier, and Vermillion is not a party to such sale or purchase.

If the Supplier is unable to fulfill all or part of your Order, we will inform you of this in writing and refund any charges to you, and the contract between you and the applicable Supplier will be cancelled. This might be because the product is out of stock, because of unexpected limits on the Supplier’s resources which it could not reasonably plan for, because we or the Supplier have identified an error in the price or description of the product, or because a Supplier is unable to meet a delivery deadline you have specified.

You agree to provide a valid physical address that is completely accurate and current for the delivery of your Order. Only one shipping address can be provided for each Order. Unless you choose to arrange your own shipping, our or the Supplier’s shipping partner shall deliver the Order to the shipping address as specified and requested by you while placing the Order. Vermillion shall not be liable for any delays, losses or damages caused as a result of your provision of incomplete or inaccurate information to us.

Our order process allows you to check and amend any errors before submitting your order on the Platform. Please check the order carefully before submitting it. You are responsible for ensuring that your Order and any specification submitted by you is complete and accurate.  All orders are final and non-cancellable.

5.      Products

Products may vary slightly from their pictures.

The images of the products on our Platform are for illustrative purposes only. Although every effort has been made to display the colours accurately, we cannot guarantee that photographic lighting sources or a device’s display of the colours accurately reflects the colour of the products. In addition, although effort has been made to be as accurate as possible, because some of the products are handmade, some of the sizes, weights, capacities, dimensions and measurements indicated on our Platform may have slight variations. The packaging of the product may also vary from that shown in images on our Platform.

For Custom Orders

If our Suppliers are making the product to the specifications you have given in your Order, you are responsible for ensuring that these specifications are final and correct.

Where additional information may be needed from you

The Suppliers may need certain information from you so that they can supply the products to you, for example, in the case of custom orders. If so, this will have been stated in the description of the products on our Platform. We will contact you in writing to ask for this information. If you do not give us this information within a reasonable time of us asking for it, or if you give us incomplete or incorrect information, the Supplier may either end the contract or make an additional charge of a reasonable sum to compensate for any extra work that is required as a result. Neither we nor the Supplier will be responsible for supplying the products late or not supplying any part of them if this is caused by you not giving us the information needed within a reasonable time.

Import regulations & restrictions

You are responsible for complying with all applicable laws and regulations of the country for which the products are destined. Vermillion will not be liable or responsible if you break any such law. The laws and regulations include but are not limited to: import and export regulations, product safety, labeling and marking requirements, testing and certifications, warnings, licensing, copyright, and other trade compliance or consumer protection requirements. Vermillion is not responsible for any additional charges including but not limited to taxes, customs, brokerage, carrier advancement, penalties and fees as a result of importing goods from other countries, nor can Vermillion compensate you if items are confiscated or held at import customs. 

6.      Warranty for the Products

6.1 The products you purchase on this Platform are covered by a warranty provided by the Supplier concerned that on delivery, the product shall:

(a)     subject to Clause 5, conform in all material respects with their description and any relevant specifications;

(b)     be free from material defects in design, material and workmanship; be of merchantable quality (within the meaning of the Sale of Goods Ordinance (Cap.26));

be supplied with reasonable care and skill

6.2 Subject to Clause 6.3, if:

(a)     you give us notice in writing within 7 calendar days of delivery that some or all of the products do not comply with the warranty set out in Clause 7.1 with evidence substantiating the claim;

(b)     the Supplier concerned is given a reasonable opportunity of examining the products; and

(c)     you return such products to the Supplier concerned (costs to be borne by that Supplier),

we will use our reasonable efforts to procure the Supplier, at its option, to replace the defective products or refund the price of the defective products in full.

6.3 The warranty in Clause 7.1 shall not apply if:

(a)     you make any further use of such products after giving a notice in accordance with Clause 7.2;

(b)     the defect arises as a result of the Supplier following any drawing, design or specification supplied by the Buyer;

(c)     you alter or repair the product without our or the Supplier’s written consent; or

(d)     the defect arises as a result of wilful damage, negligence on your part, or abnormal storage or working conditions.

6.4 Except as provided in this Clause 6, the Supplier shall have no liability to you in respect of a product’s failure to comply with the warranty set out in Clause 6.1.

6.5 These Terms also apply to any replacement products supplied to you. By accessing and using the marketplace service provided by Vermillion, you acknowledge that you assume certain risks. Vermillion is not involved with, nor provides a warranty for, any transaction between the Buyer and the Supplier, nor has title to any products, and is not the buyer or seller in any transaction. You as a Buyer, assume, agree, and understand that you bear the risks in purchasing products on the Platform.

7.      Price and Payments

Buyers can pay using Vermillion’s third-party payment partners listed on the Platform. By submitting payment details in conjunction with Order placement, you agree to pay for the goods purchased, and any applicable taxes, duties and other fees that may accrue, and you authorize Vermillion and/or its third-party payment partners to charge the payment method accordingly, and/or to credit that payment method to make any adjustments if necessary. Vermillion’s third-party payment partners undertake all requisite measures to minimise the risk of unauthorised access and to address all safety and privacy concerns relating to your credit card data and usage. Cards are subject to validation checks and authorisation by card issuers. If the required authorisation is not received, then there may be no delivery, or significant delays in delivery of the ordered product and neither Vermillion, nor its partners, will be liable for any loss or damages arising as result of this. We will however notify you in the event that this occurs so you can work with your card issuer to resolve this issue. After receiving appropriate authorisation by our third-party payment partners, the payment will be authorised. When you are required to click on the order button you are confirming that the card belongs to you and that you have sufficient funds to pay for the product(s) you have ordered.

You must pay to us all amounts due under these Terms and Order Confirmation(s) in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law). For all orders, you will pay 100% of the Order Payment upon Order placement. For made-to-order products over USD $10,000, we will accept an upfront and non-refundable deposit of 50-70% upon Order placement, and the remaining portion prior to shipping the Order.  In this case, the Suppliers will receive a non-refundable deposit for production, with the remaining portion held by Vermillion to be released to the Supplier after the return period is over. We accept all major credit cards for all orders, as well as bank transfers for orders above USD $10,000.

The price of the product will be the price indicated on the order pages when you place your order, which is exclusive of shipping fees and any applicable customs charges, insurance, duties and taxes. Our prices are listed in USD, and every reference to dollars is to US dollars. We take all reasonable care to ensure that the price of the product advised to you is correct. However, it is possible that, despite our efforts, some of the products sold on the Platform may be incorrectly priced. Vermillion reserves the right to correct any errors in pricing. We will normally check prices before sending you an Order Confirmation so that, where the product’s correct price at your order date is less than the price stated to you at your order date, we will charge the lower amount. If the product’s correct price at your order date is higher than the price stated to you, we will contact you for your instructions. If your Order was accepted and processed where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, the Supplier may end your contract, and Vermillion will cancel the supply of the products and refund you any sums you have paid.

8.      Shipping & Delivery

Shipping & Fulfilment Fees

Currently our trade term is EXW.  You are responsible for and agree to pay for all shipping costs, as well as any customs fees, duties, taxes and shipping insurance in respect of your Order. Shipping costs will vary depending on the weight of the package and where the package is being shipped from and to. An estimate of the shipping costs and shipping insurance for your Order will be added to the invoice at the checkout of your Order.  In addition, you are entirely responsible for paying all applicable taxes, VAT, export and/or import taxes and duties. Vermillion shall not be liable for any additional shipping costs, taxes or duties or other charges that you may have to pay.

Estimated Delivery Date

Estimated shipping times will be displayed on the product page. Our Suppliers are not liable for shipping delays due to Force Majeure events. If the Order consists of more than one product, the products may be delivered in separate packages and at separate times to the Buyer.  We shall notify you if there may be any delays in delivery from the estimated delivery date. You agree that Vermillion, as an intermediary, shall not be liable to you for any losses, liabilities, costs, damages, charges or expenses arising out of any delayed delivery.

Acknowledging Receipt

At the time of delivery, the Buyer or its duly authorised representative is required to acknowledge receipt of delivery of the Order by signature, and verify that the packaging and its seals are intact, undamaged, not wet or altered in any manner; and any damages to the packaging and/or the product should be immediately indicated in writing on the Courier’s delivery note. Once the Courier’s document has been signed and no objection has been raised by you, you may not make any objection to the exterior characteristics of the delivered goods.

9.      Return, Refund and Exchange

Items eligible for return/refund/exchange

Suppliers selling on our Platform accept requests for a return, refund or an exchange of a product in an Order where the product:

(a)    is defective, damaged or faulty;

(b)   did not match the item, size or colour that was indicated in the Order, excluding some degree of variations for handmade items; or

(c)    had a missing part or accessory when it arrived with the Buyer.

No change-of-mind returns, refunds, or exchanges are permitted.

Vermillion reserves the right to accept or reject any claims made by Buyers of damaged or missing items in its reasonable discretion, including in the event Vermillion suspects any fraudulent activity. Our decision whether to accept a damaged or missing claim shall be final.

Items ineligible for return/refund/exchange

Requests for a refund, return or exchange of the following items shall not be entertained:

(a)    used products;

(b)   items that are no longer in their original packaging or without their original labels attached; and

(c)    any made-to-measure or bespoke items, or items marked non-returnable at the point of sale.

How to make the request

If an item is eligible for return, refund, or exchange, please let us know by one of the following methods:

(a)    Email. Email our customer service team at cs@vermillionlifestyle.com. Please provide your name, home address, details of the Order (including order number) and, where available, your phone number and email address.

(b)   On the Platform. Complete the customer contact form on our Platform, indicating whether you are seeking a return and refund or an exchange of the product.

When lodging your request in one of the two manners, evidence substantiating the reason for the request must also be submitted. This could be in the form of clear and accurate photos or videos showing the issue with the product, and the conditions of internal and external packaging. We shall only entertain requests lodged within 7 calendar days after you have accepted delivery of the Order.

Returning/Exchanging the product

Unauthorized returns will not be accepted.  After we have evaluated that your request is valid and well-substantiated, you will receive an email notification instructing you on how to send the product back to the Supplier. We will arrange our third-party logistics partner to pick up the item to be returned. You must send off the items you wish to return within 7 calendar days of the email notification authorising your return. After you have sent off the items to be returned, please send us a photo of the shipping label and photos of the packaged return item as proof of your return.

Items must be returned in its original condition, in its original packaging and packed and sealed with all of its accessories, parts, and tags in place, along with its warranty slip as applicable. The properly packed item to be returned must also be clearly labelled and handed over with its return invoice.

If your request is to exchange the product, the Supplier will arrange to ship out the correct item to you as soon as practicable after you provide your proof of return in the case that the items need to be returned to the Supplier.

Refund

If you are entitled to a refund under these Terms, we will make the refund to you on behalf of the Supplier by the method you used for payment within 7-14 working days from the day on which the Supplier receives the product back from you and has completed a quality check of the returned item; or within 7-14 working days from the day on which the Supplier confirms the refund request in the case of refund without returns.

Shipping Costs for the return of products to the Supplier

The party at fault will cover the shipping costs for the return or exchange of a product. If you opt to use your own shipping company, the shipping costs will be returned to you along with your refund at the same cost of delivery by the least expensive delivery method that the Platform offers (where you are not requesting for an exchange of the product). For example, if the Platform offers delivery of a product within 3-5 days at one cost but you choose to have the product delivered within 24 hours at a higher cost, then we will only refund what you would have paid for the cheaper delivery option.

10.   Order Refusal

Vermillion reserves the right to withdraw any product from sale on the Platform at any time and/or remove or edit any material or content on the Platform and will not be held liable for doing so either by you or by any other third party. Vermillion will use its best efforts to always process all Orders, but there may be exceptional circumstances wherein we may not be able to process an Order after we have sent you an Order Confirmation. The Platform will notify you in writing of any order cancellation at the earliest that is reasonably practicable. If any Order placed by you has been cancelled by us for any reason and you have already made payment, we will ensure that you are refunded any sums you have paid in advance for products which will not be provided.

11.   The Supplier’s Rights to End the Contract

Without limiting any of the Supplier’s other rights, the applicable Supplier may end the contract for a product at any time by an email notification to you through the Platform if:

(a)    you do not make any payment to us when it is due and you still do not make payment within 3 working days of us reminding you that payment is due;

(b)   you do not, within a reasonable time of us asking for it, provide us with information that is necessary for the Supplier to provide the products, for example, for made-to-measure or bespoke products; or

(c)    you do not, within a reasonable time, allow our or the Supplier’s shipping partner to deliver the products to you or collect the products from them.

If the contract is ended in these circumstances, you will be refunded any sums you have paid in advance for products that have not been provided minus all costs incurred as a result of your breaking the contract.  

12.   No Circumvention

By accessing and using our Platform, you agree to abstain from behaviour in connection with the direct solicitation, negotiation and contracting between Buyers and Suppliers, including making direct arrangements with the Supplier, outside of our Platform. Any action that encourages or solicits order placement, payment or communications between Buyers and Suppliers outside of the Platform is a violation of these Terms. In the event of a violation of this Clause, we reserve the right to suspend or terminate your Buyer Account.

13.   Eligibility

To effectively use our Platform, you must be at least 18 years of age. In case you are under 18 and wish to use the Platform to list, sell, and/or make a purchase, you can only do so with the involvement and under the supervision of a parent or guardian.

You represent and warrant to Vermillion that:

(a)    you have all requisite right, power, and authority to enter into these Terms and any contract for the purchase of goods with Suppliers, to bind the company or other legal entity you may be acting on behalf of to these Terms and such contracts (where applicable), and to perform your obligations under these Terms and such contracts;

(b)   any information you provide or make available to us or the Supplier is at all times accurate and complete; and

(c)    you and the company or other legal entity you may be acting on behalf of (where applicable) will comply with all applicable laws in the performance of your obligations and exercise of your rights under these Terms and any contract for the purchase of goods with Suppliers.

14.   Prohibitions on Usage

You must not misuse our Platform. Criminal misuse, in particular, is strictly prohibited, and you shall not commit or encourage the commission of a criminal offence on or through the Platform. You must not hack into any aspect of our Platform, corrupt data, infringe any person’s proprietary rights, transmit or distribute any malware or virus in any form, or post material on the Platform which is malicious, technologically harmful, in breach of confidence or in any way offensive or obscene, cause annoyance to other users, send unsolicited advertising or promotional material, or attempt to interfere with the performance or functionality of any computer facilities accessed through the Platform. You shall also not use any automated systems or software to access, collect or extract data or other content from our Platform for any purpose whatsoever, nor scrape, reverse engineer, compromise or impair our Platform. Any breach of this provision may constitute an offence under applicable laws, and in the event that a breach occurs, Vermillion reserves the right to report the breach to the relevant law enforcement authorities and to take any action it determines is reasonably necessary to comply with applicable law.

15.   Linking to our Website

You are allowed to link to our website home page, provided you do so in a way that is legal and is not likely to damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. We reserve the right to withdraw linking permission without notice in case of any breach of these Terms.

16.   Third Party Material

Vermillion will not be liable in any way for any items or content posted on the Platform by third parties, other users, or at the direction of users (collectively, “Third Party Materials”), or any errors, omissions, loss, or damage of any kind as a result of such Third Party Materials on the Platform. You acknowledge that Vermillion does not, and is under no obligation, to review, screen, or inspect any Third Party Materials on the Platform, although Vermillion reserves the right to do so, and to remove Third Party Materials at our sole discretion. You agree that you bear all risks associated with the use, reliance, condition, accuracy, completeness, or usefulness of Third Party Materials.

17.   Intellectual Property

The Platform and its content are protected by copyrights, trademarks, service marks or other proprietary rights protected by intellectual property laws. Vermillion is the owner of the Vermillion name and logo, and all related names, logos, product and service names, designs and slogans, as well as any content on the Platform that is created, edited or enhanced by Vermillion. Content on the Platform in relation to products that is created by the applicable Supplier, including photos, brand logos and trademarks, product descriptions and information, belongs to that Supplier. Images, trademarks, brands and other content displayed on this Platform may not be reproduced or appropriated in any manner without written permission of their respective owners. You shall also not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying content on the Platform.

18.   Governing Law

These Terms and Conditions and any definitive agreements between you and Vermillion and all obligations arising directly and indirectly from them shall be governed by the laws of Hong Kong. Any disputes arising shall be settled by arbitration at the Hong Kong International Arbitration Centre.

19.   Termination and Account Cancellation

If you breach any of these Terms, Vermillion will have the right in its sole discretion to suspend or disable your Buyer Account or cause the immediate, temporary or permanent withdrawal of your right to use our Services. Vermillion reserves the right to revoke your access to and use of the Platform at any time and without liability to you. In the event that this happens, Vermillion will send you a written notification informing you of this and the reason for suspension or termination (as the case may be). If Vermillion decides to terminate your contract with Vermillion arising from your breach of these Terms, you will remain liable for all amounts due under the Orders you have placed on the Platform. You may cancel your Buyer Account at any time by sending an email to cs@vermillionlifestyle.com.

20.   How to tell us about problems

21.   Privacy

Your use of the Platform is subject to our Privacy Policy.  To view the conditions on which we use the personal information you input on this Platform, please check our Privacy Policy

22.   Limitation of Liability

Vermillion shall not be liable to you for purchases, sales, or other obligations that may arise between Suppliers and Buyers; any damages that result through your use of our Platform and Services; any content not produced by Vermillion and Third Party Materials; and any of the services provided by its third party partners on the Platform.

Your use of the Services is at your sole risk. The Services are provided by Vermillion on an “as is” and “as available” basis, without warranty of any kind, either express, implied or statutory. Vermillion does not give any representations, warranties or undertakings in relation to the products sold on this Platform. Any representation, condition or warranty which might be implied or incorporated into these Terms by statute, common law or otherwise is excluded to the fullest extent permitted by law. Without limiting the foregoing, Vermillion explicitly disclaims any warranties of merchantability, fitness for a particular purpose, quiet enjoyment or non-infringement, and any warranties arising out of course of dealing or usage of trade. Vermillion also makes no warranty that the Services will meet your requirements or be available on an uninterrupted, secure or error-free basis. We will not be responsible for ensuring that the products are suitable for your purposes, nor that the quality of any goods, services, information, or other material purchased or obtained by you through the Platform will meet your expectations.

Moreover, information presented on the Platform is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Platform or user of the Services, or by anyone who may be informed of any of its contents.

Other than in respect of matters which it would be unlawful for us to exclude or restrict liability (and to the extent that it would be to do so), Vermillion shall not be liable to you, whether in warranty, contract, tort (including negligence), breach of statutory duty, misrepresentation, product liability or otherwise, for any loss of profits, sales, business or revenue, loss of goodwill, or any incidental, indirect or consequential loss arising under or in connection with any contract between us, or the use of or inability to use the Services, service interruption, computer damage or system failure, the cost of substitute products or services, or your interactions with other users of the Platform.

23.   Indemnity

You agree to defend, indemnify, and hold Vermillion, and its partners, and each of their owners, members, officers, directors, employees, agents and representatives harmless from any claims, liabilities, damages, judgments, awards, losses, costs, expenses and fees (including reasonable legal and accounting fees) made by any third party due to or arising out of your actions or inactions, your use or misuse of our Services, your violation of these Terms and/or any law or the rights of a third party, and/or your use of or participation on the Platform and the Services.

24.   Force Majeure

Vermillion and our Suppliers shall not be liable for any delay or failure to perform its obligations under these Terms which is caused by an event or sequence of events beyond its reasonable control. Such events shall include acts of God, flood, drought, earthquake or other natural disaster; disease, epidemic or pandemic such as COVID-19 and the lockdown of territories or states as a result of the pandemic; terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations; nuclear, chemical or biological contamination; any law or any action taken by a government or public authority, including without limitation imposing an export or import restriction, quota or prohibition, or failing to grant or renew a necessary licence or consent; collapse of buildings, fire, explosion or accident; any labour or trade dispute, strikes, industrial action or lockouts; and interruption or failure of utility service.

If such a force majeure event takes place that affects Vermillion or our Suppliers’ performance under these Terms, we will contact you as soon as reasonably possible, and our obligations under these Terms will be suspended and the time for performance of our obligations will be extended for the duration of the force majeure event. Where the force majeure event affects the delivery of products to you, we will arrange a new delivery date with you after the force majeure event is over.

.25.   Severance

If any provisions of these Terms are found, by any court or administrative body of competent jurisdiction, to be invalid, unenforceable or in conflict with any applicable law, that provision shall be severed from these Terms but the validity or enforceability of the remaining provisions shall not be affected and shall, as far as possible, remain in force.

26.   No Waiver

Even if we delay in enforcing these Terms, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these Terms, or if we delay in taking steps against you in respect of your breaching these Terms, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

27.   Changes and Variations

Vermillion reserves the right, at our sole discretion to modify, suspend, discontinue or terminate the Services or any content, feature or material we provide on the Platform at any time and without prior notice, and have no obligation to update any information thereon. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict access to some or all parts of the Services to users. You agree that it is your responsibility to monitor changes to our Services.

Vermillion also reserves the right, at our sole discretion, to amend these Terms at any time. Any such amendment will be posted on the Platform, and we will try to provide at least 30 days' written notice to you prior to the introduction of any material changes to the Terms. Continued use of the Platform post-amendment will deem to constitute acceptance of the new Terms. Vermillion reserves the right to withhold your ability to shop at Vermillion in case of any breach of these Terms. If the new Terms are not acceptable to you, your only recourse is to cease using the Platform and the Services.

28.   Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between us in relation to your purchase. You acknowledge that you have not relied on any statement, promise, representation, assurance or warranty made or given by or on behalf of us which is not set out in these Terms and that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these Terms. You also acknowledge that no other terms are implied by trade, custom, practice or course of dealing.
